Seller Agreement

You are the seller, lessor, manufacturer, distributor, integrator, service provider, or other commercial party offering the product or service shown in your listing. You remain responsible to the buyer for the promises you make. Botsdex operates the marketplace, may facilitate payment and communications, and may administer the Botsdex Guarantee. Botsdex does not become the manufacturer, importer, carrier, installer, insurer, or operator of your robot.

You must have authority to accept this Agreement for your business. The Master Terms, this Agreement, the listing, checkout flow, and the immutable order record together define the transaction. A later listing edit cannot rewrite an accepted order.

Every seller must complete identity, business, payment, and other checks through Stripe Connect or another third-party provider approved by Botsdex. We may request beneficial ownership, authorization, tax, banking, address, insurance, product, or regulatory information and may repeat checks when facts change.

Verification confirms only that the information and checks met the applicable onboarding standard at that time. It is not a Botsdex endorsement or warranty of product quality, safety, title, performance, insurance, legal compliance, or seller solvency. You must notify Botsdex promptly if your verified information becomes inaccurate or your authority to offer a product changes.

Botsdex can pay out only to a business registered in a country where its payment partner supports payouts from a United States marketplace. Today that is the United States, Canada, the United Kingdom, Switzerland, the member states of the European Union, Norway, and Liechtenstein. A business registered elsewhere may build its storefront and listings, but can take payments on Botsdex only through a company or distributor registered in one of those countries. The country you give when you connect your payout account must be the one where that business is registered, and it cannot be changed afterwards.

You must keep every listing accurate, complete, and current.

• Identify the seller and the product truthfully, including model, condition, age, hours, ownership, title, liens, prior damage, material defects, included items, software, and restrictions.
• State the supported commercial model, price, currency, taxes or fees, delivery or booking dates, geography, cancellation rules, return terms, warranty, maintenance, support, and end-of-term requirements.
• Provide manuals, warnings, certifications, technical limits, operating conditions, installation requirements, and training requirements that a buyer needs before committing.
• Update or remove a listing promptly when stock, availability, price, safety, recall, title, or regulatory status changes.

Accepting an order, booking, or lease creates a commitment to deliver the agreed product or service under the captured terms. A purchase must transfer the stated interest in the product. A rental must be delivered for the booking period and returned under the order. A lease must state its minimum term, recurring charge, permitted use, maintenance, early termination, return or purchase option, and responsibility for damage and excess use.

You must meet delivery and pickup commitments, keep the buyer informed about delays, provide tracking or milestone evidence where applicable, and respond to buyer messages. You may not substitute a materially different robot, add an undisclosed charge, or change a material term without the buyer's documented agreement.

You are responsible for safe packaging, lawful shipment, site and installation requirements that you promised, return logistics, inspection, and reasonable cooperation when a buyer reports a problem.

• Do not list or deliver counterfeit, stolen, recalled, unsafe, defective, or materially non-compliant products.
• Do not offer to buyers in the United States any device that lacks the equipment authorization the U.S. Federal Communications Commission (FCC) requires, including equipment on the FCC Covered List. On request, give Botsdex the FCC ID and grant date of any robot you offer to U.S. buyers.
• Comply with the sanctions and export control laws of the United States, the European Union, the United Kingdom, and your own country. Do not sell to, ship to, or accept payment from a sanctioned person or a country or region under comprehensive sanctions or embargo, and obtain any export license a product needs before it ships.
• Monitor recalls, safety notices, field failures, and regulatory notices. Tell Botsdex and affected buyers promptly, stop sales or rentals when appropriate, and provide the required remedy.
• Maintain product liability, commercial general liability, workers' compensation, cargo, professional, or other insurance appropriate to your products and services, and provide evidence on request.
• Hold all licenses and authorizations required for manufacture, import, export, sale, rental, lease, installation, and support in each market where you offer the product.

Botsdex may remove a listing, limit the destinations it ships to, or refuse or cancel an order where it reasonably believes the sale would break these rules.

Stripe Connect or another approved payment partner verifies your account, collects buyer payments, converts currencies, may calculate or collect taxes, routes payouts, and may impose its own terms and holds. Botsdex deducts the commission and any fee below before payout, and may also deduct reserves, refunds, chargebacks, taxes, and other amounts permitted by the transaction or this Agreement.

Commission. Botsdex charges a commission of 20% on every order paid through Botsdex: 20% of the item price, any add-ons, and the delivery charge the buyer pays, excluding taxes charged on top. For a rental it applies to the rental charge, and for a lease to each lease payment. Botsdex pays the payment partner's processing fees on the order out of its commission. Listing is free, and there is no subscription. Each order's Payout section shows the amounts deducted.

Advertising. If you run a Botsdex advertising campaign, the advertising fee you set in it is charged in addition to the commission, only on sales the campaign's terms attribute to it. No advertising fee applies unless you start a campaign.

Currency. Botsdex currently prices and charges supported transactions in US dollars. A displayed amount may be converted by the payment partner, and the buyer sees the charged currency and available conversion information before payment. If your payout account is in another currency, the payment partner converts your payout at its own rate and may charge for the conversion. Botsdex sets neither.

When you are paid. The buyer's payment, less the amounts above, is credited to your payout account when the order is paid. Botsdex releases it to your bank for each order 30 days after the order's recorded delivery (for a rental, after its last rental day), and in any case no later than 90 days after payment. Delivery is recorded by the carrier or by you. A buyer claim, resolution request, or card dispute raised before release pauses that order's release until it is resolved. After 5 paid-out orders with no upheld claim, refund, or lost card dispute in the preceding 90 days, payouts are released 3 days after delivery, and any of those events restores the standard period. Lease payments are released as each invoice is paid. Botsdex sets your payout schedule, so instant payouts and self-service schedule changes are not available. Your Payouts page shows the rule that applies.

Refunds and card disputes. You must fund and cooperate with refunds, cancellations, credits, replacements, and chargeback responses caused by your product, delay, cancellation, misdescription, safety issue, or breach. When an order is refunded in full or in part, Botsdex returns its commission on the refunded amount and your payout is reduced by the rest. If a card dispute (chargeback) is decided against the payment and is attributable to you, Botsdex recovers your payout on the disputed amount, keeps no commission on it, and may also recover the payment network's dispute fee. A payout is not final while a buyer claim, refund, chargeback, recall, or legal obligation remains open.

Recovery. Where a refund, chargeback, or upheld claim is attributable to you and your payout account cannot cover it, Botsdex may pay the buyer and recover the amount from you by reversing the related transfer, by set-off against your future payouts, by debiting the bank account on file through the payment partner, or by invoice. Any shortfall is a debt owed to Botsdex that survives the closure of your account.

Taxes. You remain responsible for your taxes, customs, duties, invoices, reporting, and legal obligations, subject to any amounts Botsdex or a payment partner must collect or report.

The Botsdex Guarantee is part of every paid order. It covers the failures described there, including non-delivery, material misdescription, damage, safety, fraud, and relevant rental or lease milestones. It cannot be waived by a final-sale label or seller policy.

The buyer should contact you first. You normally have 48 hours to make a good-faith proposal. Botsdex may then review messages, listing data, order terms, tracking, inspection evidence, booking milestones, operating records, and payment history. We may direct a refund, rental or lease adjustment, replacement, repair, return, credit, or other remedy consistent with the order and applicable law.

You must preserve relevant records and cooperate with claims, card disputes, regulators, recalls, and audits. You may appeal a moderation or claim decision through support with relevant evidence, but an appeal does not suspend an urgent safety action or a payment network deadline.

To fulfil orders you receive personal data about buyers, such as names, delivery addresses, messages, and order details, and a buyer who sends you an inquiry shares their contact details with you. You and Botsdex each decide independently how you use that data, and each is responsible for its own compliance with data protection law.

You may use buyer data only to fulfil, deliver, install, support, and service the order or answer the inquiry; to handle returns, warranty, recalls, and claims; and to meet your legal obligations. Do not use it for marketing, add it to a mailing list, sell it, or pass it on for any other purpose unless the buyer separately agrees.

• Share it only with staff and contractors, such as carriers and installers, who need it for those purposes and are bound to keep it confidential.
• Protect it with security appropriate to the risk, and delete it when you no longer need it for those purposes, unless the law requires you to keep it.
• Tell Botsdex without undue delay, and within 72 hours of becoming aware, of any breach affecting buyer data you received through Botsdex, and help Botsdex answer buyers who exercise their data protection rights.

If buyer data from the European Economic Area, the United Kingdom, or Switzerland reaches you in a country without an adequacy decision for that data, the Standard Contractual Clauses approved by the European Commission (Implementing Decision (EU) 2021/914, Module One: controller to controller) apply between Botsdex as data exporter and you as data importer, together with the UK International Data Transfer Addendum and the adjustments Swiss law requires where relevant. They are incorporated by reference, with this section describing the data, purposes, and safeguards, Irish law and the courts of Ireland chosen where the Clauses require a choice, and the Clauses prevailing over this Agreement if the two conflict.

You grant Botsdex a non-exclusive, worldwide, royalty-free license to host, reproduce, format, translate, display, index, compare, market, and distribute your listing materials and seller identity for operating and promoting the marketplace. You represent that you have the rights and permissions needed for that use and that the materials do not infringe another person's rights or disclose confidential information.

You must not manipulate reviews, pay for a positive sentiment, suppress a material complaint, create an insider review without disclosure, or ask a buyer to move a transaction off Botsdex to avoid fees or records.

Search results and category pages first show the listings that match what the buyer searched for or selected: the words, category, job, and filters. Among matching listings, Botsdex orders by a listing score built from how complete the listing is (its specifications, photos of the unit, and video), the ratings in verified-purchase reviews, how often buyers viewed and saved it in the last 30 days, and how many units sold through Botsdex in the last 30 days. Listings a buyer can buy on Botsdex come before otherwise equal listings they cannot, and newer listings break remaining ties. Buyers can instead sort by price or by date.

Sponsored listings appear among the results, labelled as sponsored, and only for sellers running an advertising campaign. Payment does not change a listing's score directly, but buyer views and saves count toward it however the buyer arrived, including from a sponsored placement.

Botsdex also runs its own storefront, Curated by Botsdex, whose listings are ranked by the same rules. Botsdex may let any seller, including that storefront, receive buyer inquiries on its listings and, where it does, publish inquiry-only listings before its payout account is ready.

Botsdex may review listings, orders, messages, verification data, safety reports, refunds, and payout activity. We may request a correction, limit visibility, pause a listing or payout, remove a product, suspend an account, or terminate access when needed for safety, fraud prevention, legal compliance, payment risk, or user protection, or for a material or repeated breach of this Agreement.

When we restrict, suspend, or remove a listing or your account, we tell you the reasons, with the facts behind them where we can, no later than when the decision takes effect. Before ending your use of Botsdex entirely we give you at least 30 days' notice and our reasons, unless the law requires us to act sooner, you have repeatedly breached this Agreement, or immediate action is needed for safety, fraud prevention, or a legal or regulatory obligation.

You can contest a decision free of charge by replying to it or by writing to legal@botsdex.com with any evidence. We review it and tell you the outcome and our reasons. A suspension does not cancel an accepted order, refund, warranty, return, lease, or other obligation unless the order is lawfully cancelled and the buyer is given the required remedy.

Changes. Botsdex emails you at least 15 days before a change to this Agreement or its fees takes effect, describing the change, and gives longer notice where the change requires significant adjustments from you. You may end this Agreement before the change takes effect. A shorter period applies only where the law requires it or where a change is needed to address an unforeseen and imminent danger, such as fraud or a security threat. Accepting the new version on your Payouts page before then waives the rest of the notice period. A change to the commission applies only to orders placed after it takes effect.

This Agreement continues while you use Botsdex or have an open order, booking, lease, payout, claim, warranty, or refund obligation. Provisions concerning payment adjustments, recovery, safety, buyer data, records, intellectual property, indemnity, disputes, and open transactions survive termination.
