Seller Agreement

You are the seller, lessor, manufacturer, distributor, integrator, service provider, or other commercial party offering the product or service shown in your listing. You remain responsible to the buyer for the promises you make. Botsdex operates the marketplace, may facilitate payment and communications, and may administer the Botsdex Guarantee. Botsdex does not become the manufacturer, importer, carrier, installer, insurer, or operator of your robot.

You must have authority to accept this Agreement for your business. The Master Terms, this Agreement, the listing, checkout flow, and the immutable order record together define the transaction. A later listing edit cannot rewrite an accepted order.

Every seller must complete identity, business, payment, and other checks through Stripe Connect or another third-party provider approved by Botsdex. We may request beneficial ownership, authorization, tax, banking, address, insurance, product, or regulatory information and may repeat checks when facts change.

Verification confirms only that the information and checks met the applicable onboarding standard at that time. It is not a Botsdex endorsement or warranty of product quality, safety, title, performance, insurance, legal compliance, or seller solvency. You must notify Botsdex promptly if your verified information becomes inaccurate or your authority to offer a product changes.

You must keep every listing accurate, complete, and current.

• Identify the seller and the product truthfully, including model, condition, age, hours, ownership, title, liens, prior damage, material defects, included items, software, and restrictions.
• State the supported commercial model, price, currency, taxes or fees, delivery or booking dates, geography, cancellation rules, return terms, warranty, maintenance, support, and end-of-term requirements.
• Provide manuals, warnings, certifications, technical limits, operating conditions, installation requirements, and training requirements that a buyer needs before committing.
• Update or remove a listing promptly when stock, availability, price, safety, recall, title, or regulatory status changes.

Accepting an order, booking, or lease creates a commitment to deliver the agreed product or service under the captured terms. A purchase must transfer the stated interest in the product. A rental must be delivered for the booking period and returned under the order. A lease must state its minimum term, recurring charge, permitted use, maintenance, early termination, return or purchase option, and responsibility for damage and excess use.

You must meet delivery and pickup commitments, keep the buyer informed about delays, provide tracking or milestone evidence where applicable, and respond to buyer messages. You may not substitute a materially different robot, add an undisclosed charge, or change a material term without the buyer's documented agreement.

You are responsible for safe packaging, lawful shipment, site and installation requirements that you promised, return logistics, inspection, and reasonable cooperation when a buyer reports a problem.

• Do not list or deliver counterfeit, stolen, recalled, unsafe, defective, or materially non-compliant products.
• Monitor recalls, safety notices, field failures, and regulatory notices. Tell Botsdex and affected buyers promptly, stop sales or rentals when appropriate, and provide the required remedy.
• Maintain product liability, commercial general liability, workers' compensation, cargo, professional, or other insurance appropriate to your products and services, and provide evidence on request.
• Hold all licenses and authorizations required for manufacture, import, export, sale, rental, lease, installation, and support in each market where you offer the product.

Stripe Connect or another approved payment partner may verify your account, collect buyer payments, convert currencies, calculate or collect taxes, route payouts, and impose its own terms and holds. Botsdex may deduct disclosed fees, reserves, refunds, chargebacks, taxes, and other amounts permitted by the transaction or this Agreement before payout.

Botsdex currently prices and settles supported transactions in USD. A displayed amount may be converted by Stripe or another approved currency partner. The buyer sees the charged currency and available conversion information before payment. You remain responsible for your taxes, customs, duties, invoices, reporting, and legal obligations, subject to any amounts Botsdex or a payment partner must collect or report.

You must fund and cooperate with refunds, cancellations, credits, replacements, and chargeback responses caused by your product, delay, cancellation, misdescription, safety issue, or breach. A payout is not final if a buyer claim, refund, chargeback, recall, or legal obligation remains open.

The Botsdex Guarantee is part of every paid order. It covers the failures described there, including non-delivery, material misdescription, damage, safety, fraud, and relevant rental or lease milestones. It cannot be waived by a final-sale label or seller policy.

The buyer should contact you first. You normally have 48 hours to make a good-faith proposal. Botsdex may then review messages, listing data, order terms, tracking, inspection evidence, booking milestones, operating records, and payment history. We may direct a refund, rental or lease adjustment, replacement, repair, return, credit, or other remedy consistent with the order and applicable law.

You must preserve relevant records and cooperate with claims, card disputes, regulators, recalls, and audits. You may appeal a moderation or claim decision through support with relevant evidence, but an appeal does not suspend an urgent safety action or a payment network deadline.

You grant Botsdex a non-exclusive, worldwide, royalty-free license to host, reproduce, format, translate, display, index, compare, market, and distribute your listing materials and seller identity for operating and promoting the marketplace. You represent that you have the rights and permissions needed for that use and that the materials do not infringe another person's rights or disclose confidential information.

You must not manipulate reviews, pay for a positive sentiment, suppress a material complaint, create an insider review without disclosure, or ask a buyer to move a transaction off Botsdex to avoid fees or records.

Botsdex may review listings, orders, messages, verification data, safety reports, refunds, and payout activity. We may request a correction, limit visibility, pause a listing or payout, remove a product, suspend an account, or terminate access when needed for safety, fraud prevention, legal compliance, payment risk, or user protection.

Where practicable, we will provide the reason and an appeal path. A suspension does not cancel an accepted order, refund, warranty, return, lease, or other obligation unless the order is lawfully cancelled and the buyer is given the required remedy.

This Agreement continues while you use Botsdex or have an open order, booking, lease, payout, claim, warranty, or refund obligation. Provisions concerning payment adjustments, safety, records, intellectual property, indemnity, disputes, and open transactions survive termination.
