Welcome to Botsdex. These Terms and Conditions govern your access to and use of the Botsdex website, marketplace, seller tools, buyer tools, quote flows, listings, content, and related services. Botsdex is operated by GTM Partners LLC, a company registered in New Mexico, USA, with registered office at 1209 Mountain Road Pl NE Ste N, Albuquerque, NM 87110 (“Botsdex”, “we”, “us”, or “our”).

By accessing or using Botsdex, creating an account, submitting a listing, requesting a quote, contacting a seller, purchasing, renting, or otherwise using our services, you agree to these Terms. Your use of Botsdex is also governed by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use Botsdex.

1.What Botsdex is

Botsdex is a platform for discovering, comparing, buying, renting, and managing robots. It includes two main products: the Marketplace, which helps users discover, evaluate, and transact on robotics products and services; and Fleet, which provides tools to manage, monitor, and administer deployed robot fleets. These Terms apply to both products and to any other services Botsdex makes available.

Unless explicitly stated otherwise, Botsdex is not the manufacturer, designer, importer, distributor, installer, operator, or owner of the robots listed or managed on the platform. Listings are provided by sellers, manufacturers, distributors, integrators, or other third parties.

2.Who may use Botsdex

You must be at least 18 years old and able to enter into a legally binding agreement to use Botsdex. If you use Botsdex on behalf of a company, organization, public body, or other entity, you represent that you have authority to bind that entity to these Terms.

Some parts of Botsdex may be intended for business users only. If a listing, quote, rental, pilot, or transaction is business-only, you must not use it as a consumer unless the seller expressly allows it.

3.Accounts

  • You are responsible for keeping your account information accurate and secure.
  • You must not share access credentials or allow unauthorized use of your account.
  • You must notify us if you suspect unauthorized access.
  • We may suspend or restrict accounts that appear fraudulent, unsafe, misleading, non-compliant, or abusive.

4.Platform tools

Botsdex may make tools available across its products, including: product discovery, comparison, seller communication, quote requests, direct purchases, rentals, payments, reviews, saved robots, seller dashboards, and listing imports through the Marketplace; and fleet monitoring, robot status tracking, deployment management, and fleet administration through Fleet. The availability of any feature may change over time.

Where a transaction is completed directly between a buyer and a seller, the contract for the robot, service, rental, deployment, warranty, delivery, installation, training, and support is between the buyer and the seller unless Botsdex expressly states otherwise in writing. Fleet tools do not create a transaction relationship between Botsdex and any third party with respect to the robots being managed.

5.Listings and product information

Listings may include product names, brands, models, images, videos, descriptions, specifications, certifications, prices, commercial models, support regions, deployment requirements, accessories, software, warranties, manuals, and other information. Sellers are responsible for the accuracy, completeness, legality, and currency of their listings.

Botsdex may review, edit formatting, request changes, reject, suspend, remove, rank, or restrict listings at our discretion. We may do this to improve marketplace quality, protect users, comply with law, prevent fraud, remove unsafe or illegal products, or maintain the integrity of Botsdex.

6.Seller obligations

If you list or offer robots, products, rentals, services, or deployment support on Botsdex, you agree that you will:

  • Provide accurate business identity, contact, payment, tax, and authorization information.
  • Provide accurate product information, including model, brand, specifications, limitations, commercial options, and support regions.
  • Disclose material deployment requirements, including installation, mapping, connectivity, training, operator supervision, accessories, safety requirements, and maintenance.
  • Provide appropriate safety, compliance, certification, warranty, return, cancellation, and support information where required.
  • Only list products and services you are legally allowed to offer in the relevant markets, with all required export, import, and regulatory authorizations in place.
  • Promptly correct inaccurate, incomplete, outdated, unsafe, illegal, or misleading information.
  • Respond professionally to buyer requests and avoid spam, deceptive practices, fake scarcity, fake reviews, or misleading claims.
  • Comply with all applicable laws, including product safety, consumer protection, advertising, tax, import/export, privacy, sanctions, anti-bribery, and sector-specific regulations.

7.Buyer obligations

If you use Botsdex as a buyer, renter, requester, or evaluator, you agree that you will:

  • Provide accurate information in quote requests, order forms, messages, and deployment descriptions.
  • Evaluate whether a robot is suitable for your intended environment, users, laws, and safety context.
  • Review seller terms, warranty terms, delivery terms, rental terms, safety materials, and deployment requirements before committing.
  • Use robots only as intended and in accordance with instructions, training, safety requirements, and applicable law.
  • Not use Botsdex to obtain products for unlawful, unsafe, harmful, misleading, restricted, or prohibited purposes.

8.Buy, rent, lease, pilots, and quote requests

A listing may support one or more commercial models, including purchase, rental, lease, subscription, robot-as-a-service, pilot project, or request quote. The options shown on Botsdex are informational unless and until an order, rental agreement, quote, or contract is accepted under the applicable checkout or seller process.

Prices, availability, delivery timelines, taxes, shipping, deployment costs, accessories, service levels, support, and warranty terms may vary by region, configuration, seller, and buyer requirements. Sellers are responsible for honoring the terms they offer, subject to applicable law and any additional transaction terms.

9.Payments, fees, taxes, and invoicing

Botsdex may use third-party payment processors. You agree to provide accurate payment information and authorize applicable charges when you complete a paid transaction. All transactions on Botsdex are conducted in US dollars (USD).

Sellers are primarily responsible for calculating, collecting, and remitting taxes, customs duties, and import/export charges applicable to their transactions. Where applicable law requires Botsdex to collect, withhold, report, or remit taxes as a marketplace operator (including under EU VAT rules, US sales tax nexus rules, or similar regimes in other jurisdictions), Botsdex will do so and may deduct or collect such amounts accordingly. Botsdex may also be required to report seller transaction data to tax authorities under applicable law, including the EU DAC7 directive and equivalent reporting regimes.

Botsdex may charge seller fees, buyer fees, transaction fees, subscription fees, listing fees, lead fees, or other fees. Any applicable Botsdex fees will be disclosed in the relevant seller agreement, checkout flow, order page, or invoice.

10.Delivery, installation, training, support, and maintenance

Robots may require delivery, installation, mapping, calibration, integration, operator training, safety checks, software setup, maintenance, and local support. Unless Botsdex expressly states otherwise, these responsibilities belong to the relevant seller, integrator, service provider, or buyer according to the transaction terms.

Botsdex is not responsible for deployment outcomes, site readiness, operator training, workplace safety, regulatory approvals, or suitability for a particular use unless we expressly agree to provide such services in a separate written agreement.

11.Safety, compliance, and regulated use cases

Robots are physical systems that may interact with people, property, animals, vehicles, infrastructure, workplaces, public spaces, or sensitive environments. You are responsible for ensuring that any robot you buy, rent, deploy, sell, or operate through Botsdex is suitable, safe, and legal for the intended use.

Some robots or use cases may be regulated or restricted, including security, surveillance, healthcare, childcare, eldercare, public-space operation, industrial machinery, autonomous mobility, drones, hazardous environments, and workplace automation. Botsdex may restrict, remove, or refuse listings or transactions that present legal, safety, or reputational risk.

Sellers are solely responsible for ensuring their products comply with all applicable export and import control laws, including US Export Administration Regulations (EAR), EU dual-use regulations, applicable sanctions programs, and any sector-specific restrictions. Sellers must not list products whose export, re-export, or transfer is prohibited under applicable law without all required licenses or authorizations. Botsdex is not responsible for export or import compliance and may remove any listing that appears to present export control risk.

12.Reviews, ratings, and user content

You may be able to submit reviews, ratings, questions, messages, comments, images, videos, or other content. You must ensure that your content is accurate, lawful, respectful, non-confidential, and does not infringe third-party rights. We may moderate, remove, or restrict user content at our discretion.

By submitting content to Botsdex, you grant Botsdex a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, adapt, and distribute that content for operating, improving, promoting, and protecting Botsdex.

13.Intellectual property

Botsdex, including its name, logo, design, platform, marketplace structure, software, data organization, content, and branding, is owned by Botsdex or its licensors. You may not copy, scrape, reverse engineer, resell, or misuse Botsdex except as permitted by these Terms.

Sellers retain ownership of their product materials but grant Botsdex the right to display and use those materials in connection with the marketplace, marketing, indexing, search, comparison, and platform operations.

14.Prohibited uses

  • Using Botsdex for unlawful, unsafe, deceptive, fraudulent, harmful, or abusive activity.
  • Submitting fake listings, fake reviews, fake seller identities, fake certifications, or misleading product claims.
  • Listing prohibited, illegal, counterfeit, stolen, unsafe, recalled, or non-compliant products.
  • Circumventing Botsdex fees, systems, verification, ranking, or platform protections.
  • Scraping, harvesting, copying, or using Botsdex data to build a competing service without permission.
  • Interfering with platform security, availability, integrity, or other users.

15.Platform availability and changes

We may update, suspend, discontinue, or change any part of Botsdex at any time. We do not guarantee uninterrupted availability, error-free operation, permanent storage of content, or continued availability of any listing, feature, seller, price, region, or commercial model.

16.Disclaimers

Botsdex is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Botsdex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

Botsdex does not guarantee that any robot will meet your needs, perform as expected, comply with all laws in your region, be suitable for your environment, or be supported by a seller after purchase or rental. Seller promises, warranties, and representations are the responsibility of the seller unless Botsdex expressly accepts responsibility in writing.

17.Limitation of liability

To the maximum extent permitted by law, Botsdex will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, business interruption, deployment failure, safety incident, product defect, seller misconduct, buyer misconduct, or third-party service failure.

To the maximum extent permitted by law, Botsdex’s total liability for claims arising out of or related to these Terms or the services will not exceed the greater of: (a) the total fees you paid directly to Botsdex in the twelve months before the claim arose; or (b) USD 500. This cap does not apply to claims that cannot be limited under mandatory applicable law.

18.Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Botsdex, its affiliates, directors, officers, employees, contractors, and partners from claims, damages, losses, liabilities, costs, and expenses arising from your use of Botsdex, your listings, your products, your content, your transactions, your breach of these Terms, or your violation of law or third-party rights. This indemnity does not apply to the extent that mandatory consumer protection law in your jurisdiction prohibits or limits it.

19.Suspension and termination

We may suspend, restrict, or terminate your access to Botsdex if we believe you have breached these Terms, violated law, created safety or trust risk, provided inaccurate information, misused the platform, failed verification, or harmed users, sellers, Botsdex, or third parties. Where practicable, we will provide reasonable advance notice before termination. Where immediate action is required to protect safety, security, legal compliance, or marketplace integrity, we may act without prior notice.

20.Force majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond that party’s reasonable control, including natural disasters, government actions, changes in law or regulation, labor disputes, internet or infrastructure outages, pandemics, cyberattacks, or third-party service failures. The affected party will notify the other as soon as reasonably practicable and use reasonable efforts to resume performance.

21.Mandatory consumer rights

Nothing in these Terms limits rights that cannot be limited under applicable consumer, product safety, privacy, or other mandatory laws. If you are a consumer, mandatory consumer protections in your country may apply even if these Terms say something different.

22.Dispute resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for at least 30 days after written notice of the dispute is given to the other party at the contact details in these Terms. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief where delay would cause irreparable harm.

23.Governing law and jurisdiction

These Terms are governed by the laws of New Mexico, USA, without regard to conflict-of-law principles. Subject to the dispute resolution section above, the courts of New Mexico, USA will have jurisdiction over any disputes arising out of these Terms or your use of Botsdex. If you are a consumer, mandatory rules of the country where you reside may also apply, and you may have the right to bring or defend claims in your local courts under your local law regardless of this clause.

24.Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on Botsdex with a new “Last updated” date. If changes are material, we may provide additional notice. Continued use of Botsdex after changes become effective means you accept the updated Terms.
